Our business is closing down large industrial plants. Unlike most eBay sellers there is nothing normal or uniform about what we do.

Each asset is custom packaged by craftsmen who are skilled at packaging and shipping machinery and equipment. We then ask our shipping carriers to give us the very best rate possible, this can only happen after we have the final packaged weight. To provide this HIGH STANDARD of SERVICE and VALUE it takes a little extra time but it is well worth it. If you need your item fast we can arrange EXPEDITED or RUSH SERVICE through a 3rd party for an additional charge.

We liquidate business and industrial assets and our buyers are usually businesses with docks and forklifts to unload. If you are buying an asset for personal use or need special service i.e. tailgate or residential delivery please make sure you ask for that in writing before you pay for shipping. Est. Rigging fees: We conduct many liquidations and many of the items we sell are for clients on site and we hire 3rd part riggers. Therefore, in many situations, as is industry standard, we charge a reasonable rigging fee to cover the loading handling and paperwork. This also applies to all WILL CALL items. These fees are subject to a minimum loading fees of $35 per 1000 lbs for dock high service. Items requiring special or double handling or crane service (such as loading into a cattle trailer, pickup truck, trunk of car or Burro Cart) there could be an additional fee at time of loading.

ALL OFFERS BY KING SURPLUS ARE SUBJECT TO PRIOR SALE OR CHANGE WITHOUT NOTICE BEFORE A BID OR OFFER IS MADE.

TO SECURE SALE BUYER MUST MAKE PAYMENT IN FULL WITH IN 3 BUSINESS DAYS. ON LARGE PURCHASES OVER $10,000 BUYER CAN MAKE A 25% DEPOSIT WITH IN 3 BUSINESS DAYS WITH THE BALANCE DUE IN FULL WITH IN 7 DAYS. Shipping
All freight and shipping, including but not limited to nonstandard freight fees, escort fees, permit fees, bonding requirements, ton/tax mileage fees, or any other charges imposed by hauler or any government are the sole responsibility of purchaser. King Surplus may from time to time assist the buyer with aspects of the packaging and shipping just as a customer service to the buyer. As such the buyer agrees to be responsible for the shipping and should the buyers item or items become damaged in shipping or transit the buyer will hold King Surplus completely and totally harmless from any and all liability whatsoever, including but not limited to filing damage or freight claims with the carrier. King Surplus will guide buyers through the process of filing a freight claim but King Surplus Company does not file freight claims. FYI: Freight companies will only refund the cost of the asset, KSC would loose money if the freight company refunded our cost and not the buyers cost. We use only the best freight companies and are able to ship 99% of our shipments with not problems.

YOUR ITEM OR ITEMS MAY ARRIVE PARTIALLY DISASSEMBLED. Many times it is more cost effective to remove parts to make the shipment more compact and cost effective. Published rate card effective 2001 for AssetMan services for but not limited to assistance in disassembly, tear down, packaging, shipping, transferring, consulting, problem solving, asset management, inventory, photographing, loading, unloading, removal, decommissioning, supervising, erection, counseling, meetings, planning, implementing, installation, training / operation if required:

. $95.00/hour/Foreman, Project Superintendents, Warehouse supervisors, Security management, Sr. Plant Management, Sr. Database management, Drafting layout and design work
. $125.00/hour/Jr, engineers, office managers, review 3 – 5 appraisal
. $250.00/hour/Sr. Engineers, Sales and Marketing managers
. $250.00/hour/Robin King: Process Flow, Problem Resolution, Expert Witness, and Business Management: business plans, marketing plans, market research and analyses, overall project design and layout supervision, contracts and negotiations.

The above rates will be charged portal to portal for all work time, wait time and travel time. Plus all travel & living expenses (portal to portal). Overtime and weekends will be charged at 1 1/2 times the normal rate. Only time not charged is after working hours (unless actually working or traveling). Labor rates do not include materials or supplies which will be billed at "materials / supplies cost" plus 50%. "Materials / supplies cost" is defined as the actual cost of the materials or supplies to King Surplus Company plus King Surplus Company' general overhead expenses for the procurement, delivery, etc. Of the materials or supplies purchased. Outside consultants will be billed at "labor cost" plus 35%. "Labor cost" is defined as the actual cost to King Surplus Company for the labor plus King Surplus Company' general overhead expenses for the facilitation, etc. of labor employed.

Sales Tax and past due amounts and nonpaying bidders
ALL APPLICABLE TAXES MUST BE PAID BY CUSTOMER. ALL BILLS ARE PAYABLE IN Del Rio TEXAS. A CHARGE OF 1 1/2 % PER MONTH OR THE MAXIMUM ALLOWED BY LAW WILL BE CHARGED ON ALL PAST DUE INVOICES and judgements, this includes sales tax. Nonpaying bidders will be charged a 25% relisting fee plus any and all costs associated with collecting said fees including but not limited to attorneys fees, court costs and other costs.

Free on site (Del Rio Texas) storage for 30 days. All items off site must be picked up in 10 days
If buyer needs to store items in our warehouse beyond the 30 day grace period we would be glad to accommodate you for a minimum fee of $ 2.00 per day or $ .19 cents per sqft per week, whichever is greater. FYI we also donate all storage fees to charity. For buyers that do not pay for storage fees we will donate those assets to the Daily Bread Ministry Food Bank or other charity.

IMPORTANT: THIS DOCUMENT REPRESENTS OUR ENTIRE UNDERSTANDING OF YOUR WRITTEN AND VERBAL ORDER AND INSTRUCTIONS. ANY CHANGES MAY INCUR ADDITIONAL CHARGES.

King Surplus Company is an asset remarketing & recycling company, we are not dealers or experts with regard to many of the assets we are remarket. For this reason, the buyer must bear responsibility for bidding and or purchasing any item. King Surplus Company does not warrant that any item or items when used by the owner will meet all requirements of federal safety or environmental laws, OSHA, MSHA, EPA, or states regulation. Since installation and operational situations affect the safety aspects, the owner must protect its own employees. Any safety of environmental equipment, devices or material not normally provided by King Surplus Company on this type of equipment, but required by code, ordinance, or law, shall be furnished only if specified in this document and none other. Any additional safety devices or modifications to the equipment required by you or any regulatory body in the future will be supplied or made only id available and at purchaser's expense as set forth above.

Purchaser may have to obtain permits from government bodies to operate certain types of items this equipment. Seller offers with regard to any such local, state or national rules or regulations, and will not attempt to secure any permit or license. Since seller cannot warrant that this equipment meets the law, rules or regulations of local, state or national governments. Purchaser must make this determination prior to entering into this agreement.

LIMITED WARRANTY

(1) All assets sold by King Surplus are Sold AS IS WITH NO WARRANTY EXPRESSED OR IMPLIED.
(2) In some cases KSC will offer a 7 to 10 day refund guarantee. Our philosophy is to always value the relationship more than the money. Unfortunately since we are not dealers we can not service or warrantee the items we sell. In some cases we are simply remarketing assets for our clients for a small commission. For this reason all sales items are sold as is with no warrant expressed or implied as to fitness or use for a particular purpose. KSC will make certain reasonable guarantees as follows: 1. The back ground information or history of the item is true and correct as described to us. 2. This unit or units are, in our opinion are as described in the condition area of each item worksheet. 3. The item or items being sold are sold as wholesale with no warranty as to operation, purpose or OSHA / MSHA safety. 4. Our simple 7-10 day guarantee refund guaranty is this: For a period of not more than 10 days after shipment (the time it leaves our dock) we will refund up to % 100 percent of the purchase price so long as the item is returned to us in the original condition and packaging. This return must be made to our warehouse or to a designated location of our choice. KSC not refund packaging, shipping, handling, loading or any other fees whatsoever. This refund is only for the original purchase price. 5. KSC DOES NOT REFUND OR COLLECT FOR FREIGHT DAMAGE NOR DO WE SELL INSURANCE. King Surplus is our family business and we try to go the extra mile to properly describe the item we are selling and make sure the price-point on each item below it's value so that it creates an opportunity for a deal. Please remember that quality & beauty are always subject to personal opinion and as such there are certain risks involved in buying anything with out inspecting it. We are asset - remarketing specialists not one time sales artists so please feel free to bid or buy with confidence and if you do have a problem please call us with in 10 days of the shipping date. .
(3) OCCASIONALLY KSC WILL GIVE A 30 DAY PARTS ONLY WARRANTY THAT WILL BE CLEARLY OUTLINED IN THE ASSET WORKSHEET. For parts only warrantees King Surplus's liability for damages caused by such defects part of parts shall be limited to repairing or replacing the defective part or parts of item purchased. The value of this parts only warranty is limited to A MAXIMUM OF 10% of the purchase price. If items is sold used and does not clearly state "30 day parts only warranty" in the description above IT IS SOLD AS IS WITH NO WARRANTY EXPRESSED OR IMPLIED. Buyer is responsible for shipping and packaging both ways for repair or replaced parts. Purchaser shall pay any labor costs associated with disassembly, removal, or assembly. King Surplus shall not be liable for loss, damage, or expenses directly or indirectly arising from the use of failure or its products or from any other cause. It is expressly understood that King Surplus is not responsible for damage or injury caused to buildings, contents, products, or persons by reason of installation or use or failure of any of products. In addition King Surplus shall not be liable for "downtime", damages occurring due to loss of use, loss of capacity, loss of business, personal property, loss of income or any other consequential damages.

New or unused items sold by King Surplus are guaranteed only to the extent of the original manufacturer's guarantee, which may be none. No allowances will be granted for any repairs or alterations made by the purchaser without the sellers written consent signed by an officer of King Surplus. No warranty allowances or liability whatsoever shall attach to seller until said products have been fully paid for as provided herein. This warranty extends only to the original purchaser

No agent, employee, or representative of King Surplus has any authority to bind to any affirmation, representation or warranty concerning the goods sold under this contract, and unless said affirmation, representation, or warranty made by an agent, employee, or representative is specifically included within this written agreement, it shall not be enforceable by the Purchaser.

THIS WRITTEN WARRANTY IS EXPRESSLY IN LIEU OF ANY OTHER EXPRESS OR IMPLIED WARRANTEES, INCLUDING BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY OR ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, AND ANY OTHER COMMON LAW OR STATUTORY OBLIGATION OF KING SURPLUS. ALL IMPLIED WARRANTIES ARE HEREBY WAIVED BY PURCHASER AND CANNOT BE ASSERTED IN ANY LEGAL PROCEEDING.

King Surplus reserves the right to change specifications shown in its services and products price book, web-page, ebay store or on any literature without incurring the obligation to make specific notice of same, or to furnish changes to equipment previously sold or shipped.

IN THE EVENT OF A BREACH OR REPUDIATION OF THIS CONTRACT BY KING SURPLUS, PURCHASER SHALL NOT BE ENTITLED TO RECOVER ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES, AS THOSE TERMS ARE DEFINED IN SECTION 2-715 OF THE UNIFORM COMMERCIAL, CODE.

KING SURPLUS may have given general opinions as to the capacity and operations of this or other equipment. These opinions are for information and reference only, were only asset liquidators we are not dealers, wholesalers or experts in many of the items we sell. There are factors which could affect ratings, and actual results over which control is impossible. These factors include but are not limited to engineering advances, specification changes, various physical properties, altitude, operating conditions, moisture, methods of feeding, use of non-compatible machinery parts or equipment in conjunction with items sold by KING SURPLUS including, but not limited to any automation or software, experience and ability or operators or other unknown variables. As a result of these variations the statements made by King Surplus Company should be considered as a result of theoretically perfect conditions and adjustments should be made according to the actual conditions.

Modification: No modification, alteration or amendment of this agreement shall be valid or effective unless in writing and signed by an officer of King Surplus Company.

Jurisdiction/Venue: This agreement is deemed to be entered into, executed, and performed in DEL RIO Texas and shall be construed, interpreted, governed, and enforces in accordance with the law of the State of Texas. The proper Venue for enforcement of this agreement shall be Val Verde County, Texas.

Severability: In the event any provisions of this Agreement and the Exhibits hereto shall be deemed invalid, inoperative or unenforceable by a court of competent jurisdiction for any reason, that provision or provisions shall be modified to the extent necessary to make it valid, operative, and legal, and if it cannot be modified, then it shall be served, and the remainder of this Agreement shall continue in full force and effect as if the Agreement has been signed with such provision or provisions so modified or eliminated.

Prior Agreements Superseded: This Agreement contains the entire understanding and agreement between the parties in respect of the subject matter hereof and supersedes all prior correspondence, discussions, and agreements. The essence of all prior correspondence, discussions, representations and agreements are embodied in this document. To the extent inconsistent herewith, prior correspondence, discussions, representations and agreements are superseded.

Force Majeure: Not withstanding any provision to the contrary herein contained, neither party hereto shall be liable to the other party for any unavoidable delay or interruption in performance as to any obligation hereunder resulting from governmental orders, regulations, labor strikes, acts of God, fires, electrical failure or any other cause beyond its control. Such delay or interruption shall not constitute a breach hereunder.

Assignment: Purchaser may not assign, convey or transfer this Agreement or any of the rights and obligations contained herein without the prior written consent of the seller.

INSPECTION AND ACCEPTANCE OF GOODS: King Surplus Company HAS INVITED PURCHASER TO INSPECT THE GOODS AT ITS PLANT IN Del Rio, TEXAS. PURCHASER HAS EITHER FULLY INSPECTED THE GOODS TO THE PURCHASER’S COMPLETE SATISFACTION OR HAS REFUSED TO INSPECT THE GOODS. PURCHASER ACCEPTS THE GOODS IN THEIR CURRENT CONDITION. PURCHASER REPRESENTS THAT IT HAS RELEASED ONLY UPON ITS OWN INSPECTION TO SATISFY ITSELF OF THE QUANTITY, CONDITION AND QUALITY OF THE GOODS, AND NOT ON ANY STATEMENTS OR REPRESENTATION OF THE SELLER. PURCHASER WAIVES ANY COMMON-LAW OR STATUTORY RIGHT IT MAY HAVE TO REPUDIATE OR REJECT THE GOODS, IN WHOLE OR IN PART, UPON DELIVERY.

BUYER HERE BY ACKNOWLEDGES THAT HE/SHE HAS READ THIS ENTIRE AGREEMENT AND ACCEPTED ALL TERMS AND CONDITIONS STATED HEREIN BEFORE BIDDING OR MAKING OFFER. BUYER FURTHER REPRESENT THAT THEY HAVE THE AUTHORITY TO BID OR OTHERWISE ENTER INTO THIS AGREEMENT BY BIDDING OR MAKING AN OFFER ON ANY KING SURPLUS ASSETS OR SERVICES.
